Search Centered Digital Marketing Client Agreement

Project Estimates

• Search Centered Digital Marketing uses estimates for all projects, even in instances where the word “quote” is used
• The final number of hours to complete a project may vary from the initial project estimate
• Search Centered Digital Marketing will contact the client when the project nears the originally estimated number of hours
• Estimates include services provided by and paid by Search Centered Digital Marketing
• Additional fees may be required for projects, including, but not limited to: pay-per-click advertising costs, premium software, web hosting, domain names

Website/Project Content

• Search Centered Digital Marketing will operate in good faith and use only content believed to be originally created and/or properly licensed for the client's project
• It is the responsibility of the client to review and approve all published content. This includes, but is not limited to: text copy, images, videos, documents or other media or resources
• If content is published and no reviews or edits have been made, it is assumed the client has approved all content. This includes, but is not limited to text copy, images, videos, documents or other media or resources included in a project by Search Centered Digital Marketing for demonstration purposes
• Client will retain ownership of all work completed upon payment

Project Details

• The client is responsible to submit required project details and project assets to Search Centered Digital Marketing
• The client will provide project details via email or digital text written communication
• Project progress may be temporarily halted while Search Centered Digital Marketing is waiting for the client to submit project details and project assets
• The scope and/or details of the project may be modified by the client at any time
• Modification of project scope and/or details will result in a modification of the project estimate
• Project or service details modified in the invoice notes/details section supersede this agreement

Project Billing

• Projects are billed at the current Search Centered Digital Marketing day rate of $1500
• For established clients needing small projects or small updates, services are billed at the hourly rate of $175
• The Search Centered Digital Marketing hourly rate for nights, weekends, emergencies and rushed projects is $437.50
• Projects will only be billed at the nights, weekends, emergencies and rushed projects rate if approved by the client
• When the client requests a nights, weekends, emergencies or rushed projects rate, the client's project is moved to the top of our work-list and we work on it exclusively until the emergency is resolved or the rushed project is completed
• For hourly billing, tasks/task lists are billed in 15 minute increments, with a minimum of 1 hour per project
• This rate is guaranteed to remain constant for a minimum period of 6 months
• Search Centered Digital Marketing will give the client 30 days notice prior to rate increases

• All projects require an initial deposit
• Deposit amount is determined by the scope, size and time-frame for completion of the project
• The project will be cancelled and deposit will be forfeited if the client does not communicate with Search Centered Digital Marketing for a consecutive period of 60 days

• Billable services include all time spent on project related tasks. These tasks include, but are not limited to: website development; research, design; in-person, phone, email consultation; in-person, phone, or email project or service related communication
• Estimated project amount is due before project work
• Balance is due upon delivery of the project or completion of the list of tasks provided by the client
• Balances will be automatically processed using the client's billing information on account, if payment method is on file

• Many projects require third party services and software
• Services or software purchased by or paid for by the client directly are the responsibility of the client for the renewal of these services and software licenses to the company they purchased these services or software from originally. Search Centered Digital Marketing will not be held responsible for expiration of these services and software licenses. This includes, but is not limited to: domain names, web hosting, on-site software to operate the website, off-site software as a service solutions
• When Search Centered Digital Marketing purchases services or software on the client's behalf for their project, the client will pay Search Centered Digital Marketing directly for renewals, as outlined in the Recurring & Ongoing Services section of this agreement. This includes, but is not limited to: on-site software to operate the website, off-site software as a service solutions, and more

Recurring & Ongoing Services

• Recurring or ongoing services must be secured and paid for with a credit card, debit card or checking account
• Projects with recurring or ongoing services will be automatically charged to the client's credit card or debit card on account on the agreed upon service period date
• Recurring and ongoing service agreements will be automatically renewed, unless explicitly cancelled by the client
• No refunds will be given when cancelling recurring services. Services will be cancelled prior to the upcoming billing period
• Payment of a recurring service signifies the client agrees services have been rendered for the previous service period
• Recurring service details will be outlined on the service invoice and act as an agreement

Project Cancellation

• Either Search Centered Digital Marketing or the client may cancel the project at any time, and for any reason
• The balance for any work completed becomes due immediately upon cancellation of a project
• If cancelled by the client, all deposits and previous payments made are non-refundable
• The client will retain ownership of all work completed, upon payment for all work completed
• Recurring services may be cancelled prior to the upcoming bill processing date
• Recurring services with a minimum length of service may be cancelled by paying a penalty equal to one service period

Non-Disclosure of Information

• All sensitive information provided to Search Centered Digital Marketing will be kept confidential. This includes, but is not limited to: login information, business financials, client information, billing information, contact information
• Search Centered Digital Marketing employees and contractors will be provided with necessary information to complete projects and are subject to the same non-disclosure agreement
